At the May 2013 Annual Conference of the Exempt Market Dealers Association of Canada, I was privileged to moderate a panel discussing various proposed capital raising exemptions under consideration by the Ontario Securities Commission (OSC) including the Offering Memorandum Exemption which remains unavailable in Ontario.
In a recent OSC progress report in August 2013 involving its review of certain proposed capital raising exemptions, the OSC states that it is seriously considering adopting the ‘Alberta form’ of the Offering Memorandum Exemption with some possible modifications.
The panelists included Mike Sharp (Blakes) and Sean Sadler (MCarthys) who are two veteran lawyers located in Toronto, Canada and who provided very interesting insight and commentary about the proposed exemptions.
